I can see both sides of the argument. What constitutes a "failing" cat? Or is it a catalytic converter that is no longer 100% efficient due to age or an after-market product? Or is it a vehicle that due to its age is producing more emissions because of wear and tear and "seen" by the ECU as a failing cat? If it is the latter, and the ECU is responding to tight parameters as signalled by the downstream O2 sensor and flagging PO420, I can understand Sanjay's point about re-flashing.
